Terms of Service

These terms govern your use of SpiritLabs Post. By creating an account or connecting a LinkedIn Page, you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

1. Who you are contracting with

SpiritLabs Post is provided by [REGISTERED LEGAL NAME] ("SpiritLabs", "we", "us"), registered at [REGISTERED ADDRESS]. "You" means the individual or organisation using the service.

2. What the service is

SpiritLabs Post is a tool for managing a company's own LinkedIn Page. It allows an administrator of that Page to schedule and publish posts, read and reply to comments on those posts, and view engagement and follower analytics.

What it is not. SpiritLabs Post does not send connection invitations, does not send or read direct messages, does not search for or collect LinkedIn profiles, and does not build contact or prospect lists. If that is what you need, this is not the product.

You are responsible for keeping your account credentials secure and for everything done under your account. Tell us promptly at [email protected] if you believe an account has been compromised. You are responsible for the people you invite into your workspace.

You agree not to use SpiritLabs Post to:

7. Your content

You keep ownership of everything you create — posts, media, replies and drafts. You grant us a limited licence to host, process and transmit that content solely to operate the service, including sending it to LinkedIn to be published at your instruction. That licence ends when you delete the content or close your account.

You are responsible for the content you publish and for holding the rights to any media you upload.

8. LinkedIn and other third parties

SpiritLabs Post depends on LinkedIn's APIs. LinkedIn is an independent company and may change, restrict or withdraw those APIs at any time. If that happens, features may change or stop working, and we will tell you as soon as we can. We are not responsible for LinkedIn's own service, availability, decisions or policies.

SpiritLabs Post is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation. LinkedIn is a registered trademark of LinkedIn Corporation.

9. Fees

Fees, billing periods and any trial terms are those set out in your order or on our pricing page at the time you subscribe. Fees are exclusive of taxes. We may change prices with at least 30 days' notice before your next renewal. Unless the law requires otherwise, fees already paid are non-refundable.

10. Availability

We work to keep the service available and will give advance notice of planned maintenance where we reasonably can. We do not promise uninterrupted or error-free operation. Scheduled publishing depends on LinkedIn accepting the request at the time; where publication fails we will retry and notify you.

11. Suspension and termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these terms, if your use puts the service or our LinkedIn API access at risk, or if we are required to do so by law or by LinkedIn. Where circumstances allow, we will warn you first.

On termination we delete your content and connected Page data in line with our Privacy Policy.

12. Data protection

Our handling of personal data is described in the Privacy Policy, which forms part of these terms. Where we process personal data on your behalf, we do so on your documented instructions; a data processing agreement is available on request at [email protected].

13. Intellectual property

We own the service, its software, design and documentation. You get a non-exclusive, non-transferable right to use it during your subscription. If you send us feedback, we may use it without obligation to you.

14. Disclaimers

Except as expressly stated in these terms and to the fullest extent the law allows, the service is provided "as is" without warranties of any kind, including fitness for a particular purpose. We do not warrant any particular level of reach, engagement or commercial result from content published through the service.

15. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or data. Our total liability arising out of these terms in any twelve-month period is limited to the fees you paid us in that period.

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

16. Indemnity

You will indemnify us against claims arising from content you publish through the service, or from your use of it in breach of these terms or of LinkedIn's User Agreement.

17. Changes to these terms

We may update these terms. For material changes we will give account holders at least 30 days' notice by email. Continuing to use the service after the change takes effect means you accept the updated terms.

18. Governing law

These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction, without affecting any mandatory rights you have under the law of your own country of residence.
